PromptArk Terms of Service

These Terms of Service ("Terms") govern access to and use of the PromptArk website, Hub, browser extension, and related services (collectively, the "Services").

PromptArk is a product operated by OOMeta. The operating entity is 深圳无限元智能网络有限公司 ("PromptArk," "OOMeta," "we," "us," or "our").

By accessing or using the Services, you agree to be bound by these Terms.

1. Eligibility

You may use the Services only if:

  • you are legally capable of entering into a binding agreement; and
  • your use of the Services is not prohibited by applicable law.

If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Accounts and Authentication

Certain features require account authentication, including sign-in via Google OAuth or other supported methods.

You are responsible for maintaining the confidentiality of your account access and for activities occurring under your account, except to the extent caused by our own failure to maintain reasonable security.

3. The Services

PromptArk provides tools that allow users to create, organize, save, sync, optimize, transform, inject, and manage prompts across the Hub and browser extension experience.

We may update, modify, suspend, or discontinue any feature at any time.

4. User Content

4.1 Ownership

You retain ownership of the prompts, text, and other materials you create, upload, save, or manage through the Services ("User Content").

4.2 License to Operate the Services

You grant us a limited, non-exclusive, revocable license to host, store, process, display, transmit, and use User Content solely as necessary to operate, secure, improve, and provide the Services.

4.3 Responsibility

You are solely responsible for your User Content and for ensuring that it does not violate applicable law or the rights of others.

5. Acceptable Use

You agree not to:

  • violate any applicable law or regulation;
  • infringe the rights of any third party;
  • upload malware, malicious code, or harmful content;
  • interfere with or disrupt the Services;
  • attempt unauthorized access to systems, data, or accounts;
  • misuse authentication flows or impersonate another person or entity;
  • use the Services for fraud, spam, deceptive conduct, or unlawful automation; or
  • use the Services in a way that violates platform policies, including browser platform or Google API policies.

6. Browser Extension Terms

If you use the PromptArk browser extension, you acknowledge that:

  • the extension may require certain browser permissions to perform its disclosed functions;
  • the extension may interact with webpage content, active tabs, or supported AI platforms only to provide user-facing features requested by the user;
  • you will use the extension only in compliance with applicable law and platform rules; and
  • the extension may be updated or limited to remain compliant with browser or app-store policies.

7. Privacy

Your use of the Services is also governed by the PromptArk Privacy Policy.

8. Third-Party Services

The Services may integrate with third-party services, including Google OAuth, Supabase, supported AI platforms, cloud hosting services, and communications providers. We are not responsible for third-party services we do not control.

9. Intellectual Property

Except for User Content, the Services and all related software, branding, interfaces, graphics, text, and materials are owned by or licensed to PromptArk / OOMeta and are protected by applicable intellectual property laws.

10. Feedback

If you provide suggestions, ideas, or feedback about the Services, you grant us a non-exclusive, worldwide, royalty-free license to use that feedback for lawful product and operational purposes without obligation to you.

11. Suspension and Termination

We may suspend or terminate access to the Services if:

  • you violate these Terms;
  • we are required to do so by law;
  • your use creates risk, liability, or harm to us, users, or third parties; or
  • the Services are discontinued.

You may stop using the Services at any time. You may request deletion of your account and associated data by contacting privacy@oometa.ai.

12. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROMPTARK, OOMETA, 深圳无限元智能网络有限公司, AND THEIR AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED THE GREATER OF:

  • THE AMOUNT PAID BY YOU TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR
  • USD $100.

14. Indemnification

You agree to defend, indemnify, and hold harmless PromptArk, OOMeta, 深圳无限元智能网络有限公司, and their affiliates, officers, employees, contractors, licensors, and service providers from and against claims, liabilities, losses, damages, judgments, costs, and expenses, including reasonable legal fees, arising out of or related to your User Content, your misuse of the Services, or your violation of these Terms or applicable law.

15. Governing Law and Jurisdiction

These Terms shall be governed by the laws of the People’s Republic of China, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the Services shall be submitted to the courts with competent jurisdiction in Shenzhen, Guangdong, China, unless applicable law requires otherwise.

16. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Last Updated” date above.
